Special General Meeting (SGM) reconvened for 28th June 2017

The Special General Meeting held on 26 April 2017 to approve the Revised Constitution just failed to achieve the required quorum of 91 members (15% 0f 608 members) and thus the meeting was adjourned by the Chairman. As provided in the existing constitution the Executive Committee has decided to hold the adjourned meeting on Wednesday 28 June 2017.

 The revised constitution is based on a new Model Constitution prepared by the national U3A in 2012, just after our current constitution was approved.  The revised constitution includes all the requirements of our present constitution but also has additions which improve the scope and clarity.  Note that since the first revised Constitution published in the Autumn Magazine 2016 there has been one change relating to the quorum which was introduced as an Additional Resolution in the Spring magazine but which is now incorporated in the proposed Revised Constitution: The change is

Clause 16(iv):  Delete 15% and insert 10%

Details of the new constitution were published in the Autumn 2016 Magazine and a Notice of the Meeting was published in the Winter 2017 Magazine.  This meeting has previously been referred to as an Extraordinary General Meeting (EGM).

The original Notice of the Extraordinary General Meeting for 26th April, published in the Winter 2017 issue of the U3A in Kennet Magazine on page 15, included four individual resolutions, the first three to change specific clauses of the Constitution that require approval of the Charity Commissioners and the fourth to adopt the whole Revised Constitution.

The Executive Committee has subsequently agreed to propose a reduction of the quorum for voting at General Meetings from 15% to 10% of the membership. The change is proposed because the increasing total membership of U3Ain Kennet (almost 600) has made it increasingly difficult to muster the numbers necessary to achieve the quorum and in practice, a 15% quorum (90 members) is reaching the limits of the seating capacity of our major meeting location, the Kennet Valley Hall.

Advice concerning this proposal has been sought from U3A National Office, who have given their approval for it to be put forward.
